Wyoming Registered Agent for Out-of-State Businesses

A company organized outside Wyoming that operates here is, in the state's terms, a foreign entity. Wyoming has a foreign LLC follow the foreign-corporation rules (W.S. 17-29-114): it can't transact business here until the Secretary of State issues a certificate of authority, and that application names a Wyoming registered agent at a physical address in the state.

What Makes a Business "Foreign" in Wyoming

A "foreign" entity is not international; it is simply an entity formed in a different state. A Delaware LLC that hires employees in Wyoming is foreign. A Montana corporation that opens a Cheyenne office is foreign.

When Foreign Qualification Is Required

Wyoming doesn't define transacting business. Instead, W.S. 17-16-1501(b) gives examples of activity that isn't enough by itself: court proceedings and settling them, board or member meetings, keeping bank accounts, transfer agencies for the company's own securities, independent contractors who do the selling, orders Wyoming customers place that are accepted elsewhere, loans and mortgages, collecting debts, simply owning property, a lone deal wrapped up within 30 days and not repeated as a pattern, and interstate commerce. Serving as a member or manager of a company doesn't require a certificate either.

The statute says that list isn't exhaustive, so the determination can depend on specifics. Consult a Wyoming business attorney if your situation is unclear.

What Your Wyoming Registered Agent Does

As a foreign entity, your registered agent serves as your legal contact point in Wyoming:

• Takes delivery of lawsuit papers when someone sues your company in Wyoming
• Accepts Secretary of State correspondence and compliance notices
• Forwards annual report reminders and tax filings
• Keeps a physical Wyoming office (a drop box doesn't qualify) where papers can be handed over in person
• Signs the Consent to Appointment by Registered Agent that goes with your application

Wyoming accepts a resident individual, or a Wyoming or out-of-state business entity that's authorized here, as the agent. Without a valid registered agent, the Secretary of State won't file the application.

Doing Business Without Authority

Under W.S. 17-16-1502, an out-of-state company that transacts business in Wyoming without a certificate of authority owes the fees and license taxes it would have paid for every full or partial year it operated without authority, plus 18% interest, a $5,000 penalty, and reasonable audit expenses and attorney fees. It also can't maintain a lawsuit in a Wyoming court until it registers. The company's acts remain valid, and it keeps the right to defend itself in court.

How to Foreign-Qualify in Wyoming

1. Get a certificate of existence or good standing from your home state; Wyoming accepts one issued within the 60 days before your filing.

2. Appoint a Wyoming registered agent. We provide this for $99/year: a physical Wyoming address, same-day forwarding, and compliance tracking.

3. Mail the Foreign Limited Liability Company Application for Certificate of Authority to the Secretary of State with the $150 fee, the certificate and your agent's signed consent. The form asks for your organization date and duration, mailing and principal office addresses, the date your Wyoming business started (or will start), an email address for electronic service of process, and your acceptance of the Wyoming Constitution.

4. Wait for approval. Mailed filings are processed in the order received, within 15 business days. Since July 2026 the office also offers expedited review for $700 (next business day) or $1,400 (same day).

5. Maintain compliance. Each year your annual report comes due on the 1st of the month you qualified in, with a license tax of $60 or two-tenths of one mill on your Wyoming assets, whichever is greater. Unpaid reports or taxes, or a missing agent, can lead to revocation of the certificate. Leaving Wyoming? A certificate of withdrawal costs $60.
